Terms1. Definitions
- “Company” means Audiocdpro, a website operated by or on behalf of Digital Audio Industrial Supply, a company registered in France (trading as and referred to as “Digital Audio Industrial Supply” or, where the context admits, “Us”, “We” or “Our”).
- “Conditions” means these terms and conditions.
- “Contract” means any contract between the Company and the Customer for the sale and purchase of supplies.
- “Customer” means the person(s) or company whose order for the Products is accepted by the Company, or, where the context admits, “You” or “Your”).
- “Products” means any products/packages supplied or to be supplied by the Company to the Customer.
- “in writing” includes electronic communications.
2. Ordering
Once you have chosen the products you would like to buy and have confirmed your basket, you must:
- Fill in the “Log-in” field, only if you want to save your contact details information for a next order
- Fill-in the “Contact” field
- Accept the general terms and conditions of sale by ticking the box reserved to this effect on the order summary page
- Select your method of payment
- Confirm payment
Audiocdpro reserves the right to decline to trade with any company or person. In addition, Audiocdpro may decline to accept any order, whether or not payment has been received, by giving notice of non-acceptance to the Customer by telephone, email, or facsimile within a reasonable period after receipt of the order. The Company executes orders to the Customer's requirements, and does not substitute one product for another unless requested by the Customer, or unless the product has been superseded by the latest version.
3. Price
Prices on this website are displayed in Euros and do not include VAT (Value Added Tax). Euro is the reference currency: however, for information purpose only, a currency converter is available on our website. For European Union residents, a VAT of 19.6% is added when processing Your order, except if you are a European company (excluding France) able to provide a valid VAT number. Prices may be changed at any time without prior notice. If You live outside the European Union, VAT will be not charged within your cart, but at receipt of your parcel by your local customs service, if applicable.
4. Payment
Audiocdpro offers a number of convenient payment methods by credit cards including MasterCard, VISA, American Express and also PayPal. Payment must be made in Euro. The payment will be deducted from Your account only if the Product(s) are available from stock, prior to shipping.
5. Delivery
Products are sent via TNT for all our Customers. Shipping charges are determined by actual and/or dimensional weight and destination of Your order(s).
If products are available from stock, your order will be processed within 24-48 hours after payment confirmation. TNT delivery time is 2-5 workings days for European Customers and 5-10 working days for non-European Customers. Products must be legally delivered no later than 4 weeks after Your order. Audiocdpro cannot be held responsible for the consequences of a late delivery or the loss of a package caused by a Third-party contracted to make delivery, or by You, or because of some unforeseen event or an Act of God. In the event where You do not receive your package in the indicated time frame, an investigation will be conducted with the carrier and may take several days upon receipt of your claim. During this period, no reimbursement or re-delivery will take place.
Upon reception of Your order, We recommend that You verify the products with the order that You placed with Us and if necessary, write any anomalies that may have occurred on the delivery voucher, not forgetting to sign it. Without prejudice and with respect to the applicable legal guarantees, We recommend that You address any reservations you may have pertaining to malfunctioning products on the date of delivery as quickly as possible and preferably by e-mail: This e-mail address is being protected from spambots. 6. Customs
When ordering Products from Audiocdpro for delivery outside European Union, You may be subject to import duties and taxes, which are levied once the package reaches the specified destination. Any additional charges for customs clearance must be borne by You; We have no control over these charges and cannot predict what they may be.
Customs policies vary widely from country to country, so You should contact your local customs office for further information. Additionally, please note that when ordering from Audiocdpro, You are considered the importer of record and must comply with all laws and regulations of the country in which You are receiving the goods. We would like our international Customers and customers dispatching products internationally to be aware that cross-border deliveries are subject to opening and inspection by customs authorities.
7. Returns
You may return your Product(s) unopened on a 7 days notice, and We will issue a full refund for the price You paid for the item. Your right of retraction starts from the moment Your order is delivered.
The Customer may use this right on the following conditions:
- Prior to returning any Products to Audiocdpro for any reason, You must contact the Company by email ( This e-mail address is being protected from spambots. You need JavaScript enabled to view it ) to obtain a returns authorization number (‘RMA’). RMA number must be clearly visible and labeled on the carton. You must quote the invoice details from the original dispatch note on Your email.
- Return must be made within 7 days of the date of delivery, as stated above.
- Products must be returned to Us unopened in their original condition and packaging and in a condition which will enable them to be immediately fit for re-sale. They must be returned to Us adequately packed and despatched, clearly labeled with the RMA number to the following address: Digital Audio Industrial Supply, ZAC de la baudinière, 44470 Thouaré sur Loire, France
- Please make sure You send Us the Products by registered post/shipping forwarder with a tracking number, and that You purchase insurance with the carrier for the value of the Products. This is notably necessary should they lose or damage the goods. Audiocdpro accepts no responsibility for any loss of or damage to Products in transit from Customer location to our factory.
- Shipping fees and tax duties remain the Customer’s responsibility.
If one of these conditions is not fulfilled by the Customer, We will refuse any partial/full refunds, and We reserve the right to add a packing fee to return the Products (Shipping costs for return will be at Your own expense).
8. Description
All specifications, drawings, illustrations, descriptions and particulars of weights, dimensions, capacity or other details including, without limitation, any statements regarding compliance with legislation or regulation (together “Descriptions”) wherever they appear (including without limitation in this website, on data sheets, application notes, despatch notes, invoices or packaging) are intended to give a general idea of the Products, but will not form part of the Contract. If the description of any Products differs from the manufacturer’s description, the latter shall be deemed to be correct.
The Company shall take all reasonable steps to ensure the accuracy of descriptions but relies on such information, if any, as may have been provided to it by its suppliers and accepts no liability in contract or tort or under statute or otherwise for any error in or omission from such descriptions whether caused by the Company’s negligence or otherwise. The Company may make changes to the Products as part of a continuous programm of improvement or to comply with legislation. Without prejudice to this Condition, Customers are recommended to check the Company’s website for the latest descriptions of the Products.
9. Warranty
Audiocdpro warrants that if any Product is defective, it will replace or repair the product or refund the purchase price. This warranty is subject to a claim being made in writing to Audiocdpro within 12 months of the original date of dispatch, or such other longer period as may be indicated by Audiocdpro for specific products from time to time in writing.
Limitation :
The warranty shall not apply to any defect which arises from improper use, mishandling, overvoltage, wrong connections, or any repair or modification made on the Product by the Customer. The warranty will also be excluded if the Customer did not follow the manufacturers’ instructions for storage installation or maintenance of the Products, if the Customer has failed to notify the Company of any defect in accordance with the delivery where the defect should have been apparent on inspection, if the Customer fails to notify the Company of the defect within 12 months of the date of dispatch of the Products, or if the defect results from a damage due to the Force Majeure.
Process :
Prior to returning any Products to Audiocdpro if you claim a defect on one of our Products, please follow carefully this process:
- The first step is to search on the FAQ and the forum section of Our website, as the issues You experience may be easily fixed thanks to the experience of other Customers using Our Products.
- Then, you must contact Our technical department by email providing a complete technical description about the defect(s) You notice, the serial number of the Product(s) involved (if applicable), and the invoice number.
- If no technical solution can be provided while the problem is confirmed to be inherent to the module, you will obtain a Return Authorization Number (RMA). Please note again You must quote the serial number of the Products (when applicable) and the invoice details from the original dispatch note on Your email in order to get a RMA number.
- As soon as You receive Your RMA number, return must be made within 12 months of the date of delivery.
- Products must be returned to Us in their original packaging with all the components and documentation of your initial order. They must be returned to Us adequately packed and dispatched, clearly labeled with the RMA number to the following address: Digital Audio Industrial Supply, ZAC de la baudinière, 44470 Thouaré sur Loire, France
- Please make sure You send Us the Products by registered post/shipping forwarder with a tracking number, and that You purchase insurance with the carrier for the value of the Products. This is notably necessary should they lose or damage the Products. Audiocdpro accepts no responsibility for any loss of or damage to Products in transit from Customer location to our factory. -Shipping fees and tax duties remain the Customer’s responsibility.
Once we receive Your shipment, the Product(s) will be analyzed by Our technical department. If one of these above conditions is not fulfilled by the Customer, We reserve the right to refuse the return of the Product(s) from the Customer and Our technical department will not investigate further. Analysis from our technical department If We find out that the limitation of the guarantee described above is not respected and the Product(s) sent was consequently not defective, we reserve the right to charge You some additional fees like for instance: Engineering costs for technical analysis Packing fee Shipping costs/tax duties for the return of the Products.
The Product(s) will be returned to You as soon as we receive the full payment of the additional fees. If the analysis from Our technical department determines that the Product(s) you return Us is defective, the Product(s) will be repaired. If this maintenance operation is not possible, the Product(s) will be replaced in a reasonable time frame.
10. Limitation of liability
In no event and under no circumstance shall Audiocdpro be liable to the Customer or any other Third party for incidental, indirect, consequential loss or damage whatsoever, including, without limitation, loss of use, loss of revenue, claims of Customers, arising or related to any Product(s) or Services(s) provided or to be provided by Audiocdpro.
The Customer agrees to defend, indemnify and hold Audiocdpro harmless against any claims, causes of action, liabilities, damages, fines, fees, costs and expenses (including attorney and other professional fees and expenses), arising out of the Product(s), including any claims that the combination of any Product(s) and software, apparatus, assembly or data not supplied by Audiocdpro infringes any patent, copyright, trade secret, or other intellectual right or the manufacture, promotion, distribution, sale, offer for sale, or performance of any Product(s), including any personal injury or product liability claims The Customer will be solely responsible for manufacturing finished applications based on our Product(s) that are safe, free of defects in materials and workmanship, and comply with applicable laws and regulations, and for testing, labeling, distributing, promoting, selling, and if necessary recalling its Customer’s product(s).
The Customer acknowledges that the Product(s) is not intended for any use in which its failure could lead to death, personal injury, or severe physical or environmental damage, and the Customer hereby agrees to indemnify, defend, and hold Audiocdpro harmless from any liability incurred by Audiocpro, or claims asserted against Audiocdpro, by reason of any such use.
11. Force Majeure
Audiocdpro shall not be liable to the Customer in any manner or be deemed to be in breach of these conditions because of any delay in performing or any failure to perform any of the Company’s obligations under these Contract if the delay or failure was due to any cause beyond the Company’s reasonable control (which shall include, but not be limited to government actions, war, fire, explosion, flood, import or export regulations or embargoes, labor disputes or inability to obtain or a delay in obtaining supplies of Products or labor). Audiocdpro may, at its option, delay the performance of, or cancel the whole or any part of a Contract.
12. Risk and ownership
The risk of damage to or loss of Products will pass to the Customer when the Products are unloaded from the Company’s carriers at the Customer’s premises. Ownership of the Products shall not pass to the Customer until the Company has received in full (in cash or cleared funds) all sums due from the Customer to the Company on any account whatsoever. Until ownership passes to the Customer, the Customer must hold the Products on a fiduciary basis as the Company’s bailee. If payment is not received in full by the due date, or the Customer passes a resolution for winding up or a court shall make an order to that effect, or a receiver or administrator is appointed over any assets or the undertaking of the Customer or an execution or distress is levied against the Customer, the Company shall be entitled, without previous notice, to retake possession of the Products and for that purpose to enter upon any premises occupied or owned by the Customer.
13. Intellectual ownership
All the content on the Audiocdpro website (illustrations, texts, names, brand names, images and videos) is the property of Audiocdpro, its operator or partners. Any partial or total reproduction of this content, by any means and on any support, is subject to prior and express authorization by Audiocdpro. All information, content, files and software offered by our services is protected by French and International law concerning intellectual ownership and copyright. Audiocdpro cannot give you the right to copy, display or distribute content that You do not have the intellectual rights to. All fraudulent use of this content that violates the rights held by a Third Party constitutes an offence of forgery, which is severely punished under the Intellectual Property Code. Our Company will not, under any circumstances, be held responsible if a user violates rights held by a Third Party through his activities on the site.
14. Law applicable and competent jurisdiction
The present Contract shall be bound and interpreted by the laws of France and any dispute between the Parties hereto in connection with this Contract (including but not limited to any question regarding its existence, validity or termination) shall be submitted to the competent courts of Nantes, France.
